EMC CONFIDENTIAL EMC EVENT SPONSORSHIP AGREEMENT
This EMC Event Sponsorship Agreement (“Agreement”) is by and between EMC Corporation and the company
identified in Exhibit A (“Sponsor”). The Agreement pertains to the Sponsorship described in Exhibit A
(“Application”), and defined in Exhibit B. Any conflict between the terms of this Agreement and any other
document incorporated herein by reference or exhibit attached hereto, this Agreement shall control. For
valuable consideration, the sufficiency of which is hereby acknowledged, the parties agree as follows:
1.
ELIGIBILITY. To be eligible, Sponsor must be party to a valid EMC partner contract regarding products and services
that EMC offers for sale. Sponsor may only participate as a sponsor in any EMC event after a current form of this
Agreement is fully executed. A counter-signed copy will be returned to the Sponsor upon acceptance of the Agreement
by an authorized representative for EMC. EMC reserves the right to reject any Applicant to sponsor an EMC event or to
cancel this Agreement if relationship between the parties changes.
2.
REGISTRATION
2.1
Dates and Venue. EMC events are scheduled to be held at the sites and on the dates specified on
the Application, the form of which is attached to this Agreement as Exhibit A and Exhibit B. EMC reserves the
right, at its sole discretion, to change the sites, dates, or hours of any EMC event(s). EMC will notify Sponsor of
any such changes as far in advance as possible.
2.2
Admission. EMC shall have sole control over admission policies at all times, and reserves the right to
deny admission to any person(s) at any time. A limited number of conference passes are included with each
Sponsorship Package as listed in Exhibit B. Additional conference passes are available for purchase at the
prevailing sponsor rate. Sponsor passes may only be provided to Sponsor employees and are not transferable to
any other third party. No one under 21-years may be admitted.
2.3
Badges. Everyone who attends an EMC event must pre-register and receive a badge and the badge
must be worn at all times. The Sponsor’s designated conference contact person is responsible for managing the
registration process for their company. Registration information will be sent to the Sponsor contact designee
stated on the first page of the Application, upon receipt of full payment.
2.4
Sponsor’s Vendors. The Sponsor’s vendors (i.e. models, actors, photographers, etc.) should not
register but must complete and submit their company information on the Exhibitor Appointed Contractor (EAC)
form, located in the Exhibit Kit. Each EAC must obtain from Sponsor and wear a badge for access to the event
venue including scheduled move-in and move-out times. Instructions on how to obtain an EAC badge may be
found in the Exhibitor Kit.
3.
SPONSORSHIP BENEFITS. The sponsorship benefits are as designated on each Application hereunder.
Sponsor shall not assign or transfer any benefits to any other person or entity, and any attempt to do so will void the
Application under which the benefits accrue and cause the Agreement with Sponsor to immediately terminate without any
further notice to Sponsor. Sponsor understands that sponsorship is a non-exclusive opportunity to participate in events;
EMC may offer the same, similar or different sponsorship opportunities on any terms to other companies at its discretion.
3.1
Estimates. Descriptions in promotional material related to sponsorship opportunities that include or
suggest the number or type of attendees, sessions, sponsors, or other details are merely estimates provided for
the convenience of the parties; EMC makes no such representations or promises, each of which could be greater
or smaller than any stated amount.
3.2
Travel Costs Not Included. Unless explicitly stated, Travel Related Costs are not included, and must be
paid separately by Sponsor or its attendees. “Travel Related Costs” mean, by way of example, airfare and/or other
transportation related costs, transfers, lodging, taxes, VAT, fees, meals, duties, baggage charges, and other costs
associated with attending the event or related activities. Attendees must obtain any travel documents at their cost.
4.
SPONSORSHIP FEE AND PAYMENT. The sponsorship fee and the terms of payment are as designated in
each Application submitted hereunder. EMC reserves the right to terminate this Agreement if sponsorship fees are not
remitted to EMC at least 30 days prior to the conference. Payment must be received in full to redeem registration codes
for conference admission.
5.
SPONSOR’S MATERIALS. Sponsor will provide Sponsor’s promotional and/or presentation materials (e.g.,
PowerPoint presentations, promotional inserts for conference bags, advertisements for conference publications, etc.)
in a manner and format mutually agreed to by the parties. EMC shall have the right to reproduce, promote, distribute
and otherwise use these materials in connection with EMC events to which they pertain. Sponsor’s promotional
and/or presentation materials are subject to EMC’s approval, which shall not be unreasonably withheld.
6.
SPONSOR’S TRADEMARKS. EMC shall have the right to use Sponsor’s trademarks to promote Sponsor’s
sponsorship of the EMC event(s) for which Sponsor has submitted an Application. Any such use shall be in compliance
with Sponsor’s relevant trademark or corporate identity guidelines provided to EMC, and all goodwill shall insure to the
benefit of Sponsor. The size, position, placement and location of any Sponsor logo in association with any communication, sign,
banner or other collateral to be determined by EMC in its discretion. EMC is not granted any other rights to Sponsor’s
trademarks, and shall not gain any proprietary interest in Sponsor’s trademarks.
7.
USE OF THE EMC TRADEMARKS. If Sponsor is allowed to use any EMC trademarks, the specific trademark
and any further rights and restrictions will be stated in the Application. Use of all EMC trademarks is subject to the EMC

EMC CONFIDENTIAL Trademark Guidelines (“Guidelines”). Guidelines, when applicable, will be included in the Exhibitor Kit. Sponsors may
not use an EMC trademark in any messaging, materials, signage, exhibits, etc. without written approval from EMC.
8.
PUBLIC RELATIONS AND MARKETING COMMUNICATIONS. Sponsors may issue press releases at EMC
events only in accordance with this Agreement. Any announcement that references EMC or its subsidiary name(s),
solutions, products, services, customers or partnership, MUST be reviewed and approved in writing by EMC Public
Relations prior to distribution. Sponsor shall send all announcements to [email protected]. Absolutely no press
releases referring to EMC products or services may be announced without written approval of EMC Public Relations. In
addition, all other EMC-related collateral or medias (i.e. white papers, ads, brochures, partner success stories that
reference EMC customers, CDs, Videos, etc.) must be reviewed and approved in writing by EMC Public Relations prior to
release or distribution. All other partner press activities must be approved in writing in advance by EMC Public Relations.
Sponsor shall send all partner press activities no later than 21 days before commencement of the applicable EMC
event to [email protected].
8.1
Further Instructions. Complete Public Relations procedures and press release deadlines will be
included in the applicable Exhibitor Kit. Sponsor messaging and signage is subject to EMC written approval in its
sole discretion. EMC reserves the right to review, edit, and delete any objectionable words, themes or
messaging from the material with or without notice to Sponsor. EMC will have sole control of press activities at
the EMC event venue.
8.2
Gifts, Refreshments, Contests, Entertainment and the Like. EMC will not support, advertise, nor
make public announcements about Sponsor contests, drawings, raffles, their winners, or non-EMC
sponsored events taking place on or about the event.
9.
COPYRIGHT RELEASE. Sponsor authorizes EMC to record the EMC events for which Sponsor has submitted
an Application, including but not limited to presentations, and create transcriptions and derivative works there from in any
medium. Sponsor authorizes EMC to use, reproduce, copyright, translate, distribute, transmit, and publicly perform any
such recordings, transcriptions or derivative works for any purpose. EMC shall be the exclusive owner of all right, title,
and interest, including copyright to any such recordings, transcriptions or derivative works. Notwithstanding the above,
EMC shall not edit, alter or otherwise modify any recordings of presentations from Sponsor in a manner that
mischaracterizes the content or reflects negatively on Sponsor.
10.
USE OF SPACE AND PROPER CONDUCT. Any space provided to Sponsor pursuant to an accepted
Application (the “Space”), including, but not limited to, any kiosks, exhibit space, booth, or conference rooms, is provided
on an “as is” basis. Anyone visiting, viewing or otherwise participating in the Space is deemed to be the invitee or
licensee of Sponsor while so visiting, viewing or otherwise participating in the Space, rather than the invitee or licensee of
EMC. Sponsor shall return the Space in as good condition as it was received. Sponsor shall conduct itself in a decorous
manner and comply with all event venue rules and regulations as well as all reasonable requests of EMC with respect to
its use of the Space. The booth space subject to this Agreement is to be used solely for the Sponsor whose name
appears on the Application. Sponsor shall not assign or sub-let all or any portion of its Space to a third party. Any such
assignment or sub-let, and any attempt to do so, will void the Application under which the Space was provided and cause
the Agreement with Sponsor to immediately terminate without any further notice to Sponsor. EMC may reassign or edit
floor layout in its sole discretion. Booth space will generally be prioritized according to the date signed contracts are
received by EMC.
10.1
Proper Conduct. Sponsor acknowledges that EMC and the event venue owners have a reputation for
offering high quality services to their customers and that both entities desire to maintain their reputation and
receive positive publicity. Sponsor therefore agrees that throughout the term of this Agreement, Sponsor’s
directors, officers, managers and employees will not conduct themselves in a manner which is contrary to the best
interests of, nor in any manner that adversely affects or is detrimental to EMC and the event venue owners, or the
parent company, subsidiaries or affiliates of either, and will not directly or indirectly make any oral, written or
recorded private or public statement or comment that is disparaging, critical, defamatory or otherwise not in the
best interests of EMC and the event venue owners, or the parent company, subsidiaries or affiliates of either.
EMC and the event venue owners shall use their good faith business judgment in determining whether the
conduct of Sponsor’s directors, officers, managers or employees adversely affects EMC, the event venue owners,
or the parent company, subsidiaries or affiliates of either, and upon such determination, EMC shall have the right
to immediately terminate this Agreement without further liability to EMC. Contacts collected through lead
generation activities at the event shall be used to benefit Sponsor’s business and may not be resold or distributed
to third party agencies.
10.2
Disruptive Exhibits. EMC reserves the right to restrict exhibits, which because of noise, method of
operation, materials, messaging content, or because EMC in its sole discretion determines that the exhibit is
objectionable. All sound systems must point inward, and cannot point toward the aisles. EMC also will remove
any exhibit, which in its sole opinion, may detract from the general character of the EMC event as a whole, or
consists of products or services inconsistent with the purpose of the EMC event.
10.3
Gifts, Refreshments, Contests, Entertainment and the Like. EMC reserves the right to prohibit, limit,
or discontinue the distribution of any gift, giveaways, entertainment, hospitality suite or similar promotions within
the Space, in any event bag or event giveaway, during an evening event, or at the event in general. Distribution of
gifts, handouts, or enticements is strictly prohibited in breakout sessions. Provided EMC consents to Sponsor

EMC CONFIDENTIAL conducting a contest, raffle or drawing, Sponsor shall conduct all contests, raffles and drawings in compliance with
applicable federal, state and local laws.
10.4
Compliance with Safety Rules. Sponsor shall, at all times, conduct its activities in a safe and careful
manner, with full regard to public safety, and will observe and abide by all applicable laws (including without
limitation, the Americans with Disabilities Act), ordinances, rules, regulations and requests by duly authorized
governmental agencies having jurisdiction, as well as those of the applicable fire safety and law enforcement
officials. In addition to and without limiting the foregoing, Sponsor shall not use any flammable fluids or materials
of any nature, including decorative materials, in the Space. Sponsor shall carry at least the minimum insurance
required by applicable law as well as insurance to cover potential claims arising out of or related to its participation
as a sponsor in any EMC event. Sponsor shall provide EMC with evidence of insurance upon EMC’s request.
10.5
Exhibit Installation and Removal. Hours and dates for installing, exhibiting, and dismantling shall be
those specified by EMC and will be included in the applicable Exhibitor Kit. Sponsor shall be liable for all storage
and handling charges resulting from failure to remove exhibit material from the event venue after the specified
conclusion of the dismantling period set by EMC. Sponsor set-up crews are allowed on the show floor according
to the published set-up and tear down schedule. Exhibits must remain open and intact until the official closing of
each show day. Early tear down is not permitted. Exhibits must be staffed during exhibit hours. Show hours will
be listed in the applicable Exhibitor Kit. Sponsor booth staff will only be allowed access to their booth one hour
prior and one hour post published show hours for booth preparation and maintenance during the event.
Sponsors with booth personnel under 18 years of age must obtain written permission from EMC prior to the
show opening.
10.6
Exhibit Hardware, Software and Demonstration Materials. EMC must approve all hardware set-ups,
as it relates to the network and network requests. Technical questions and forms related to hardware set- ups
must be completed in full and submitted on or before the stipulated dates. Demonstrations at Sponsor booths
must focus on tools and/or products integrated with EMC products. Sponsor shall not demonstrate or distribute
any goods or services that compete with EMC products or services. Sponsor booth demonstrations will not be
permitted to connect to the EMC booth. The demonstration should be maintained in a professional manner,
consistent with the guidelines in the applicable Logistics Document or Exhibitor Manual that Sponsor can obtain
from EMC once its Application is approved. All demonstrations or other promotional activities must be confined to
the Sponsor’s Space. Booth personnel, including models, hostesses, and any hired help are not permitted to
distribute any literature or promotional items of any kind outside the confines of the assigned Space. The
distribution of any article that interferes with the activities in or obstructs access to neighboring booths or
otherwise impedes aisles is prohibited. Any Sponsor handing out literature or promotional items outside of their
Space may have their booth shut down immediately.
10.7
Ejection of Persons. EMC and the event venue owners reserve the right to eject from the event venue
any person or persons believed, in their sole discretion, is disrupting or obstructing the proper operation and
management of the event or the venue. EMC, its officers, agents, or employees and the event venue owners, its
officers, agents or employees shall not be liable to Sponsor, its agents, contractors, employees, members or
attendees, for exercising such right.
11.
EVENT SESSIONS & ABSTRACTS. If applicable to Sponsor’s Sponsorship Package, Sponsor may submit
abstracts as an application to be awarded one or more breakout session slot(s) in the event’s agenda. Submission of an
abstract in no way guarantees that Sponsor will be awarded a breakout session slot. Abstracts and applications for
session slots must be submitted to EMC for review no later than two (2) weeks after contract is signed. Session slots will
only be granted and scheduled if an abstract has been approved by EMC. EMC reserves the right to decline an abstract
or application or to require rework based upon session guidelines as detailed in World Sponsorship Guidelines, or as
otherwise made available by EMC (“Guidelines”). EMC shall have the sole discretion in determining which abstracts will
be awarded which session slots. EMC will set a milestone agenda, and set deadlines and due dates for each draft and
final presentation materials in the Guidelines. EMC reserves the right in its sole discretion to decline or cancel a session
track should Sponsor miss these deadlines or due dates, or for any reason.
12.
TERM AND TERMINATION
12.1
Term. This Agreement shall commence on the date executed by EMC and shall remain in effect for
one month following the event unless terminated as provided below. All rights and obligations of the parties
under this Agreement shall then automatically terminate except for rights of action existing prior to termination
and any obligations which expressly or by implication are intended to survive termination or expiration, including
but not limited to provisions relating to payment of outstanding fees, confidentiality, indemnity and liability.
12.2
Termination By Sponsor. If Sponsor wishes to cancel an Application to sponsor an EMC event,
Sponsor must send notice of cancellation to Sponsor’s representative listed under “Payment Information” in
Exhibit A. If Sponsor cancels one-hundred twenty (120) days or more before an EMC event commences, Sponsor
shall be liable for fifty percent (50%) of the total sponsorship fee. If Sponsor cancels less than one-hundred
twenty (120) days before an EMC event commences, Sponsor shall be liable for one hundred percent (100%) of
the total sponsorship fee. Sponsor is responsible for payment of such fees irrespective of the reason for
cancellation. If Sponsor cancels participation in an EMC event, EMC shall have the right, but not the obligation, to

EMC CONFIDENTIAL replace Sponsor with another exhibitor. Any such replacement does not excuse Sponsor from payment of any
fees assessed hereunder. Subject to the terms stated above, all fees paid to EMC are non-refundable.
12.3
Termination By EMC. EMC reserves the right to cancel any EMC event or to terminate this Agreement
for any reason at any time upon written notice to Sponsor. Upon cancellation of an EMC event for which Sponsor
has submitted an Application or termination of this Agreement by EMC, EMC’s liability to Sponsor shall be limited
to a refund of any sponsorship fees actually paid by Sponsor under each terminated Application for which the
event has not yet occurred.
13.
INDEMNITY. Sponsor shall, at Sponsor’s expense, defend, indemnify and hold harmless EMC and its officers,
directors, employees and agents from and against any and all liabilities, losses, damages, judgments, costs, settlement
amounts and expenses (including reasonable attorneys’ fees) incurred in connection with any third party claim arising out
of or relating to this Agreement or Sponsor’s activities related to this Agreement.
14.
LIMITATION OF LIABILITY. Except for obligations under Section 13 (“Indemnity”) above, (a) neither party shall
be liable to the other party for incidental, indirect, consequential, special or punitive damages of any kind or nature,
including without limitation lost revenues or profits, whether such liability is asserted on the basis of contract (including,
without limitation, the breach of this Agreement or any termination of this Agreement), tort, (including negligence or strict
liability), or otherwise, even if the other party has been warned of the possibility of any such loss or damage in advance;
and (b) neither party’s liability for damages relating in any way to this Agreement or the conduct of the parties in
furtherance hereof under any legal theory, whether contract, tort, product liability, breach of implied duty or otherwise
shall exceed the sponsorship fee(s) paid to EMC in connection with the event(s) that are the subject of the claim.
15.
GENERAL
15.1
Amendments. All matters and questions not covered by the Application and Agreement, Exhibitor Kit (if
any), general information, and rules and regulations are subject to the discretion of EMC. The Application and
Agreement, Exhibitor Kit, general information, and rules and regulations may be amended or supplemented at
any time by EMC, and all such amendments or additions shall, upon reasonable notice, and Sponsor’s continued
participation in the applicable EMC event, constitute Sponsor’s assent to the amended or additional terms.
Sponsor may not amend this Agreement or any Application without EMC’s written consent.
15.2
Force Majeure. EMC shall not be responsible for any loss or damage resulting from failure to perform
under this Agreement or to conduct any EMC event as currently scheduled in whole or part as a result of riot,
strike, civil disorder, act of terrorism, act of war, failure of facilities, earthquake, storm, fire, flood, or other acts of
God, or any reason of any kind whatsoever beyond reasonable control of EMC. EMC may retain or will be due
such portion of Sponsor’s sponsorship fee as shall be required to compensate EMC for expenses reasonably
incurred up to the time the force majeure event occurred. All payments in excess of such expenses shall be
refunded within a reasonable time.
15.3
No Assignment. The rights granted to Sponsor under this Agreement are personal in nature. Sponsor
shall not assign this Agreement or any right hereunder, or delegate any duty, to any third party without the
consent of EMC.
15.4
Authorization. Each party represents that it has the right to enter into this Agreement and perform its
obligations hereunder.
15.5
Governing Law; Jurisdiction. This Agreement and all matters arising out of or relating to this
Agreement shall be governed by the procedural and substantive laws of the Commonwealth of Massachusetts
without regard to any choice of laws provisions. Any legal action arising out of or relating to this Agreement shall
be instituted in a state or federal court in Massachusetts. The parties agree to submit to the exclusive jurisdiction
of, and agree that venue is proper in, these courts in any such legal proceeding and waive any claim regarding the
inconvenience of the forum.
15.6
Waiver; Severability; Entire Agreement. The failure of a party to insist upon strict adherence to any
term of this Agreement on any occasion shall not be a waiver of that party’s rights or the provision, nor shall it be
construed as a waiver of any succeeding breach of such provision or the waiver of the provision itself. If any
provision of this Agreement is held to be invalid or unenforceable, the remaining provisions of the Agreement will
remain in full force. This Agreement and any complete Applications submitted by Sponsor and accepted by EMC
constitute the complete understanding between the parties and supersedes all prior or contemporaneous
agreements or representations, written or oral, concerning the subject matter hereof.
15.7
Legal Notices. Any notices under this Agreement shall be in writing and delivered to the individuals that
signed this Agreement at addresses provided below (and for EMC, a copy to the EMC Office of the General
Counsel, 176 South Street, Hopkinton, MA 01748, Fax for legal notices: 508.293.7780, Email for legal notices:
[email protected]), with notice deemed given as indicated: (i) by personal delivery when delivered
personally; (ii) by overnight courier upon written verification of receipt; or (iii) by certified or registered mail, return
receipt requested, upon verification of receipt.
15.8
Independent Contractors. The relationship of the parties under this Agreement is that of independent
contractors. Nothing in this Agreement shall be construed to create a joint venture, partnership, employment or
agency relationship. Neither party has the right or authority to assume or create any obligation or responsibility on
behalf of the other party.
