Sub: Tender For Supply of LED Bulbs/Tube Lights under Demand Side Management Programme.
CE (PP), UGVCL invites on line Tender on behalf of all DISCOMs (UGVCL, DGVCL & MGVCL) for
supply of LED (Bulbs/Tube Lights as per respective programs of DISCOMs) under Demand Side
Management Programme for subsidiaries of GUVNL (UGVCL, DGVCL & MGVCL). Tender Papers &
Specifications may be down loaded from web site http://ugvcl.nprocure.com (For view, download and on
line submission), www.ugvcl.com (For view & down load). Tender fee may be paid along with
submission of tender in EMD cover, for tender. “All the relevant documents of tender to be submitted
physically will be received only by Registered Post A.D. or Speed Post addressed to The Chief Engineer
(PP), UTTAR GUJARAT VIJ COMPANY LTD., Registered Corporate Office, Visnagar Road, Mehsana
– 384001. “NO COURIER SERVICE OR HAND DELIVERY” will be allowed.
Vendor Registration for this tender item is not mandatory. However, only manufacturers are allowed to
participate in this tender. Traders are not allowed to participate in this tender. Also DISCOMs have right
to inspect manufacturing work premises as well as testing facility available at manufacturing unit before
placing order. Bidder has to supply the material from the same manufacturing unit that they have
mentioned in bidding document. [Further refer clause no. 11 of Schedule – A]

No exemption from payment of tender fees and no price preference shall be given to any bidder.
Earnest Money Deposit is to be paid as per Cl.No.11 (Modified as per Clause no.3 of Note to Schedule-A)

CSPO/NSIC/DGS&D registration certificates for the item under tender subject to furnishing of the
authenticated notary certified copies of the above certificates.
No relaxation shall be given to the bidders having valid SSI/NSIC certificate of Outside Gujarat
State.
No relaxation shall be given to the bidders having only one registration number from Government of
Gujarat but no subsequent registration with CSPO/NSIC/DGS&D registration certificates for the item
under tender.
Provisional Registration Certificates are NOT allowed.
DD for payment of tender fee & EMD must be placed in the cover super scribing “Tender fee & EMD”
along with requisite documents as mentioned in the EMD condition. (EMD and Tender Fee cover should
be kept as separate enclosure & should be submitted with Technical Bid.)
The physical tender document is to be submitted in two parts in single copy namely Technical bid &
Commercial bid including commercial terms & conditions with all enclosures of the tender documents
super scribing the respective covers accordingly along with the tender number.
Bidders shall submit Price Bid On-Line only and not in physical form.

1 TECHNICAL AND COMMERCIAL BID:
The technical and commercial bid shall comprise of all the technical details of the
equipments/stores/materials offered in accordance with the Company’s specifications/drawings,
Guaranteed Technical Particulars and all the Annexure 1 to 15 in chronological order.
The Technical Bids of those bidders whose physical submission for Tender Fee & EMD, samples etc. are
fulfilled, shall be opened on line at 1200 hrs on date 09.03.2016 or next day as feasible. The name of
vendors whose bids are opened shall be put up on line same day.
a. If any deviation is found in Data/Documents/Details or submission made in physical and On Line
mode, the Data/Documents/Details of online mode will be considered as final.
b. It is mandatory for all bidders to submit complete tender documents in both forms i.e. Physical mode
& On Line mode in stipulated time. If tender documents submitted in only one form say physical or
only online mode the tender will be rejected outright.
2 PRICE BID:
The Price Bid must be submitted strictly as per Schedule – “B-1”. The time and date of opening of the
Price Bid is tentative & any change shall be put up on website. The “TECHNICAL” and “PRICE” Bids
shall contain adequate cross-reference wherever necessary to ensure clear and proper co-relation of the
two bids without ambiguities whatsoever. Price Bid is to be submitted On Line only.

The quantity to be purchased will be decided by UGVCL. The UGVCL reserves the right to
reduce / enhance the tender quantity as per their requirement at the time of finalization of the
tender.

EMD COVER MUST CONTAIN THE FOLLOWING :
Revise Condition for exemption in Payment of EMD (Clause No:-11 of Commercial Terms &

List of Order executed in last three years (including supplied made to GUVNL & / or their any
subsidiary company) for the tender Items. Please attach Order copies.
In absence of any of the above, technical bid will not be opened / the opening of tender of
the party will be at the discretion of the UGVCL.

If the physical documents of tender will not reach to this office within mentioned date & time,
offer will be out rightly rejected even of successful submission of On Line Tender.
The tender is invited on behalf of different DISTRIBUTION companies (i.e. DISCOMs viz.
UGVCL, DGVCL and MGVCL), after finalization of the said tender, the detailed order will be
issued by the respective distribution companies.

All Bidders are therefore requested to submit their bid considering that they have to
supply the material in any store of UGVCL/MGVCL/DGVCL. Also please read
“UGVCL/DGVCL/MGVCL” instead of “UGVCL” in appropriate clauses of commercial
terms and condition/TENDER Documents.
REFUND OF EMD:
Earnest Money Deposit (EMD) will be returned / refunded to the successful bidder, only on
their submission of Security Deposit (S.D.) against the order placed on them by confirmation
for the same from respective DISCOM and No Objection Certification given by the respective
DISCOM or concerned DISCOM.
7.
DISPATCH OF MATERIAL
The tender is invited on behalf of different DISTRIBUTION companies (i.e. DISCOMs viz.
MGVCL, DGVCL and UGVCL). The successful bidder will have to dispatch the ordered
material anywhere in Gujarat.
DELIVERY PERIOD :
The completion of supply against this tender shall be made within three (03) Months on equal
monthly basis.
Commencement period: 30 days from acceptance of LOA

Delivery period: Three (03) month after issue of work order.
The successful bidder/s has to (i) submit the Bank Guarantee/Cash/DD towards execution of
contracts (Supply Period) & (ii) Execute agreement, within 15 days from the date of receipt of
Letter Of Acceptance (LOA).
The respective DISCOM may distribute their requirement either on equal monthly basis or on

month wise delivery schedule basis considering 03 months as delivery period.
If the quantity offered by the bidder is reduced while placing the order, in that case delivery
period quoted by the bidder will also be reduced proportionately.

GUARANTEE:
If the goods, stores and equipment found defective the same should be repaired or replaced by
you free of charge if reported within 66 months/42 months of their receipt at site or 60
months/36 months for LED Tube Lights with complete fittings/LED Bulbs respectively from
the date of commissioning of equipment whichever is earlier.
You will be responsible for the proper performance of the equipment/materials for the
respective guarantee period.

In case UGVCL finds that there is an attempt of cartel in the prices, UGVCL reserves the right
to consider or reject any or all the parties offer without assigning any reason thereof.
VENDOR REGISTRATION : NOT APPLICABLE
PERFORMANCE GUARANTEE TOWARDS WARRANTY / GUARANTEE PERIOD:20 (Twenty) % of total value of order as per table of clause no. 47 of tendered commercial
terms and conditions.
“NO STAGEWISE BANK GUARANTEES WILL BE ACCEPTABLE IN ANY CASE.”
In addition with the above clause:-

FOR GUJARAT BASED BIDDERS ONLY
Further for Small, Cottage & tiny industrial units of Gujarat State having the registration
numbers for production of goods and having the registration numbers from Government
of Gujarat have to submit Performance Guarantee (PG) for Supply Period & Performance
Guarantee (PG) for Warrantee Period as under:
1. Wherever in the purchase policy, rate of Performance Guarantee (PG) for Supply
Period & Performance Guarantee (PG) for Warrantee Period of 5% is stipulated, the
same be considered at 3% for Small, Cottage & tiny industrial units of Gujarat State.
2. Wherever the rate of Performance Guarantee (PG) for Supply Period & Performance
Guarantee (PG) for Warrantee Period of 10% is stipulated in the purchase policy, the
same be considered as 6% for small, Cottage & tiny industrial units of Gujarat State.
Small, Cottage & tiny Industries will, however, be considered subject to furnishing of the
authenticated notary certified copy of the certificate of Registration from Government of
Gujarat along with the tender. The certificate should indicate the manufacture of items
offered under this tender. Provisional Registration Certificates are NOT allowed.
The above relaxation in payment of Performance Guarantee (PG) for Supply Period &
Performance Guarantee (PG) for Warrantee Period shall be given to the small, cottage &

Tiny industrial Units registered under small scale industries of Govt. of Gujarat or
applicable valid acknowledgement of memorandum filed by Small, cottage and tiny
industrial units with the District Industrial Centre (DIC) of Gujarat State and holding
subsequent registration with CSPO/NSIC/DGS&D registration certificates for the item
under tender.
No relaxation shall be given to the bidders having only one registration numbers
from Government of Gujarat but no subsequent registration with
CSPO/NSIC/DGS&D registration certificates for the item under tender.
No exemption as well as relaxation shall be given to outside Gujarat based parties.
DELAYED AND LATE TENDERS :13.
No tender and sample shall be accepted / opened in any case which are received after due date
and time of the receipt of tender irrespective of delayed due to postal service or any other
reasons and ugvcl shall not assume any responsibility for late receipt of tender / sample. any
correspondance in this matter will not be entertained.
SUBMISSION OF OFFER :14.
The firm having single legal entity and having two or more works / factory and submit offers
from two or more different works / factory, the UGVCL will consider only one lowest offer for
allocation of quantity.
Revise Clause No:-12 of Commercial Terms and Condition is as under:
PERFORMANCE GUARANTEE (PG) TOWARDS SUPPLY PERIOD: (i.e. SECURITY
DEPOSIT):

[Should be paid within 15 (fifteen) days from date of letter of acceptance. The Letter of
Acceptance is to be issued against receipt of Confirmation /Acknowledgement of LOI]

The successful bidders will be required to pay an amount equivalent to 10% (Ten) of the value
of the order as a Performance Guarantee (Security Deposit) for satisfactory execution of the
contract. Such Performance Guarantee (Security Deposit) for satisfactory execution will be
payable either in Cash / D.D. / Bank Guarantees only. Bank Guarantees from Scheduled /
Nationalized Banks will be acceptable if the amount of security deposit payable exceed
Rs.5,000/-. The Bank Guarantees will be executed on the standard form prescribed by UGVCL.
In case of the Bank Guarantees furnished / submitted, they should have clear one time validity
till the completion of the order in all respects. Bank Guarantee for Interim period will not be
allowed. If by any reasons the supply period is extended then supplier should undertake to
renew the Bank Guarantee at least one month before the expiry of the validity (i.e without
vacuum period and without waiting for UGVCL’s intimation seeking extension) failing which
UGVCL will be at liberty to encash the same. CORPORATE BANK GUARANTEES AND
STAGEWISE BANK GUARANTEES ARE NOT ALLOWED.
The successful bidders shall have also to furnish PG (as per condition no. 47 of this
Commercial Terms and conditions ) of the contract value towards warranty / guarantee period
separately as applicable as per tender conditions.
Performance Guarantee towards Execution Period (Security Deposit) if paid will be returned on
successful completion of the Order and only after the Performance Guarantee Condition (clause
no.47 stated here under) is fulfilled.
Note : If the full Performance Guarantee towards Execution Period (Security Deposit)
amount is not paid within 15 (Fifteen) days from date of letter of acceptance (LOA) at
respective DISCOM, then the LOA will be out rightly cancelled at the risk & cost of the
Bidder (at the discretion of UGVCL) and without entering into any correspondences and
actions shall be taken against bidder like stop dealing or any other actions as decided by
UGVCL considering bidder as defaulter.
This guarantee shall be applicable for all the bidders irrespective whether they are SSI /
NSIC units.

Agreement to be executed by Successful Bidder :
All Bidders are requested to read the following instruction for Agreement to be executed
by successful bidders.
The successful bidder has to execute agreement at respective DISCOM, on Non judicial
Stamp paper of Rs. 100/- duly Notarized as per agreement document uploaded herewith within
15 days after the payment of S.D. amount/Bank Guarantee. The cost of Non judicial stamp &
Notary charges shall be borne by the successful bidder. The agreement shall be executed
between CE /ACE & the authorized representative of successful bidder as mentioned
hereunder.

1. If the authorized representative is from a partnership firm, then a certified copy of the
registered partnership deed must be attached along with the signatures of other partners
who have authorized the particular partner to execute and sign the agreement.
2. If it is a private or public limited firm, a copy of the resolution, authorizing the person to
execute & sign the agreement on behalf of the firm, passed by the Board of Directors along
with the Company’s Seal must be attached with the agreement.
3. If it is a proprietary firm, then the proprietor himself should execute & sign the agreement
and his full residential address must be available in the file.
4. Upon submission of security deposit and signing of Agreement, respective DISCOM
(UGVCL/DGVCL/MGVCL) shall issue a detailed A/T /order incorporating various terms
and conditions.

Important Instruction to Bidder regarding testing of Material after Post dispatch.
“The material has to be dispatched by the supplier after due successful inspection by DISCOM’s
representative at Party’s works, as per Dispatch Instruction. On receipt of the material at
Regional Store/Divisional Store, the sample/s will be selected randomly from respective store/s
as per Dispatch Instruction. DISCOM reserves the right to decide nos. of samples to be selected
under Audit inspection clause no.55 of tender inquiry. Selected sample/s will be tested for the
tests ( Decided by UGVCL/respective DISCOMs) at ERDA-Narol or equivalent any third party

However all other terms of the Clause No. 55 “Audit Testing” of Commercial terms &
Condition will remain unchanged.
QUALITY ASSURANCE PLAN
The supplier shall invariably furnish the following information along with his offer, failing
which his offer shall be liable for rejection.
a) Statement giving list of important raw materials, names of sub-suppliers for the raw
materials, list of standards according to which the raw materials are tested, list of tests normally
carried out on raw materials in the presence of supplier’s representative and copies of test
certificate.
b) Information and copies of test certificates in respect of bought out material.
c) List of manufacturing facilities available.
d) Level of automation achieved and list of areas where manual processing exists.
e) List of areas in manufacturing process, where stage inspections are normally carried out for
quality control and details of such test and inspection.

f) List of testing equipments available with the supplier for final testing of item and test plant
limitation if any vis-à-vis the type, special acceptance and routine tests specified in the relevant
standards. These limitations shall be very clearly brought out in schedule of deviation from
specified test requirements.
INSPECTION, TESTING & CHECKING BEFORE DISPATCH:
All the tests and inspection shall be carried out at the works of manufacturer unless otherwise
specifically agreed upon by the bidder and purchaser at the time of purchase. The bidder shall
provide all reasonable facilities to the inspecting officer(s) without charges.
1. The inspection may be carried out by the purchaser at any stage of manufacture/before
dispatch as per relevant standard.
2. Inspection and acceptance of any material under the specification by the purchaser shall
not relieve the bidder from his obligation of furnishing material in accordance with the
specification and shall not prevent subsequent rejection if the material is found to be
defective.
3. The bidder shall keep the purchaser informed in advance, about manufacturing program
so that arrangements can be made for inspection.

Penalty for delay in completion of supply
there shall be penalty for late completion of work and warranty period as given
below.
0.5 % of the total value of work allotted to bidder per week subject to maximum
limit of 10 % of the total value of work reckoned on the value of late delivered
supplies.
In order to avoid delay in dispatch of the inspected lot materials, for which the dispatch
instructions are already issued, the supplier shall arrange the transportation so as to
receive the materials at respective consignee’s stores within 15 days from the date of
dispatch instructions issued. If materials are not received at stores within 15 days from the
date of dispatch instruction issued, the special penalty charges shall be recovered at 0.5%
per week or part thereof, maximum up to 3% of the dispatch instructions consignment
value.

Penalty for late replacement of defective LED Tube Lights with complete fittings or
parts thereof / LED Bulbs in warrantee period :

During Warranty Period of the LED Tube Lights (with complete fittings) / LED Bulbs if
any complaint is raised from beneficiary, bidder has to solve the complaint within 04
(Four) days. If bidder has not solved the complaint then penalty of Rs. 5/- per day/LED
bulb/Tube Light subject to maximum of Rs. 25/LED bulb/Tube Light to be charged. This
condition is applicable after information given by implementing agency. In case the
defects are not rectified within 4 (four) days of the receipt of the complaint, by you,
respective DISCOM shall have full liberty to rectify such defect or undertake such repairs
as Permanent

without our knowledge or consent, by or between parties to the said within written contract.
“Notwithstanding anything contrary contained in any law for the time being in force or banking practice,
this Guarantee shall not be assignable, transferable by the beneficiary (i.e. GUVNL or Subsidiaries.)
Notice or invocation by any person such as assignee, transferee or agent of beneficiary shall not be
entertained by the Bank. Any invocation of the Guarantee can be made only by the beneficiary directly”
