PricewaterhouseCoopers Inc. ("PWC"), in its capacity as the court-appointed monitor (the
"Monitor") of 923451 Ontario Limited (formerly known as Comstock Canada Ltd.) ("Comstock"),
CCL Realty Inc. ("CCL Realty") and CCL Equities Inc. ("CCL Equities" and together with
Comstock and CCL Realty, the "Companies") will make a motion to the Honourable Regional
Senior Justice Morawetz on April 30, 2014 at 8:30 a.m., or as soon thereafter as the motion can be
heard, at the Courthouse located at 330 University Avenue, Toronto, Ontario, Canada.
PROPOSED METHOD OF HEARING:
The motion is to be heard orally.
THE MOTION IS FOR AN ORDER:
1.
if necessary, validating and abridging the time of service of the Notice of Motion
and Motion Record and directing that any further service of the Notice of Motion and Motion
Record be dispensed with such that this Motion is properly returnable on the date scheduled for
the hearing of this Motion;
2.
approving the amendment referred to in the Amending Agreement dated April 23,
2014 (the "Amending Agreement") between Comstock and CCL Realty as sellers (collectively,
the "Sellers") and HB Construction Company Ltd., an Alberta corporation (carrying on business
in the Province of British Columbia under its assumed name, HBBC Construction Company
Ltd.) as purchaser (the "Purchaser") and authorizing and approving the execution of the
Amending Agreement, with such minor amendments as the Sellers and the Purchaser may deem
necessary;
3.
authorizing and directing the Sellers to take such additional steps and execute
such additional documents as may be necessary or desirable for the conveyance of the RSW
Claim (as defined below) to the Purchaser;
4.
vesting in the Purchaser the Sellers' right, title and interest in and to the RSW
Claim free and clear of and from any and all security interests (whether contractual, statutory, or
otherwise), hypothecs, mortgages, trusts or deemed trusts (whether contractual, statutory, or
otherwise), liens, executions, levies, charges, or other financial or monetary claims, whether or
not they have attached or been perfected, registered or filed and whether secured, unsecured or
otherwise (collectively, the "Claims") including, without limiting the generality of the
foregoing: (i) any encumbrances or charges created by the Amended & Restated Initial Order
dated July 9, 2013 and by the Lien Regularization Order dated August 7, 2013; and (ii) all
charges, security interests or claims evidenced by registrations pursuant to the Personal Property
Security Act (Ontario) or any other personal property registry system (all of which are
collectively referred to as the "Encumbrances") and, for greater certainty, expunging and
discharging all of the Encumbrances affecting or relating to the RSW Claim; and

such further and other relief as counsel may advise and this Honourable Court
may permit.
THE GROUNDS FOR THE MOTION ARE:

On December 13, 2013, this Court issued an Order authorizing and approving the
execution of an Agreement of Purchase and Sale (the "HB APA") between the Sellers and the
Purchaser and vesting all of the Sellers' right, title, estate and interest in and to the Assets (as
defined therein) to the Purchaser;
7.
Following the closing of the transaction contemplated under the HB APA, counsel
to the Purchaser advised the Monitor that an action bearing Court File No. 06-CV-312259PD1
against RSW Inc. (the "RSW Claim") had been inadvertently left off of the list of litigation
claims assigned to the Purchaser pursuant to the HB APA (the "Litigation Claims Schedule");
8.
No creditor of Comstock will be prejudiced by permitting the assignment of a
litigation claim inadvertently omitted from the initial Litigation Claims Schedule;

THIS COURT ORDERS that the time for service of the Notice of Motion and the
Motion Record herein is hereby abridged and validated, if necessary, so that this motion is
properly returnable today and hereby dispenses with further service thereof.
DEFINITIONS

THIS COURT ORDERS that unless otherwise indicated herein, terms with initial
capitals have the meanings set out in the Amending Agreement.
APPROVAL AND VESTING

THIS COURT ORDERS AND DECLARES that the amendment referred to in the
Amending Agreement is hereby approved, and the execution of the Amending Agreement is
hereby authorized and approved, with such minor amendments as the Sellers and the Purchaser
may deem necessary. The Sellers are hereby authorized and directed to take such additional
steps and execute such additional documents as may be necessary or desirable for the
conveyance of the RSW Claim to the Purchaser.

THIS COURT ORDERS AND DECLARES that upon the Monitor's delivery of a
certificate to the Purchaser substantially in the form attached as Schedule M

hereto (the
"Monitor's Certificate"), all of the Sellers' right, title, estate and interest in and to the RSW
Claim described in the Amending Agreement shall vest absolutely in the Purchaser, free and
clear of and from any and all security interests (whether contractual, statutory, or otherwise),
hypothecs, mortgages, trusts or deemed trusts (whether contractual, statutory, or otherwise),
liens, executions, levies, charges, or other financial or monetary claims, whether or not they have
attached or been perfected, registered or filed and whether secured, unsecured or otherwise
(collectively, the "Claims") including, without limiting the generality of the foregoing: (i) any
encumbrances or charges created by the Amended & Restated Initial Order dated July 9, 2013
and by the Lien Regularization Order dated August 7, 2013; and (ii) all charges, security
interests or claims evidenced by registrations pursuant to the Personal Property Security Act
(Ontario) or any other personal property registry system; (all of which are collectively referred to
as the "Encumbrances") and, for greater certainty, this Court orders that all of the
Encumbrances affecting or relating to the RSW Claim are hereby expunged and discharged as
against the RSW Claim.
ADDITIONAL PROVISIONS
5.
THIS COURT ORDERS that for the purposes of determining the nature and priority of
Claims, the net proceeds from the sale of the Assets (as defined in the Approval and Vesting
Order granted by this Court in these proceedings on December 13, 2013) and the RSW Claim
shall stand in the place and stead of the RSW Claim, and that from and after the delivery of the
Monitor's Certificate all Claims and Encumbrances shall attach to the net proceeds from the sale
of the Assets and the RSW Claim with the same priority as they had with respect to the Assets
and the RSW Claim immediately prior to the sale of the Assets and the RSW Claim, as if the
Assets and the RSW Claim had not been sold and remained in the possession or control of the
person having that possession or control immediately prior to the sale.
6.
THIS COURT ORDERS AND DIRECTS the Monitor to file with the Court a copy of
the Monitor's Certificate, forthwith after delivery thereof.
7.
THIS COURT ORDERS that, notwithstanding:
(a)
the pendency of these proceedings;
(b)
any applications for a bankruptcy order now or hereafter issued pursuant to the
Bankruptcy and Insolvency Act (Canada) in respect of the Sellers and any bankruptcy
order issued pursuant to any such applications; and
(c)
any assignment in bankruptcy made in respect of the Sellers;
the vesting of the RSW Claim in the Purchaser pursuant to this Order and the amendment
contemplated by the Amending Agreement shall be binding on any trustee in bankruptcy that
may be appointed in respect of the Sellers and shall not be void or voidable by creditors of the
Sellers, nor shall they constitute nor be deemed to be a fraudulent preference, assignment,
fraudulent conveyance, transfer at undervalue, or other reviewable transaction under the
Companies' Creditors Arrangement Act (Canada), the Bankruptcy and Insolvency Act (Canada),
or any other applicable federal or provincial legislation, nor shall it constitute oppressive or
unfairly prejudicial conduct pursuant to any applicable federal or provincial legislation.
8.
THIS COURT ORDERS AND DECLARES that the assignment of the RSW Claim is
exempt from the application of the Bulk Sales Act (Ontario).
9.
THIS COURT HEREBY REQUESTS the aid and recognition of any court, tribunal,
regulatory or administrative body having jurisdiction in Canada or in the United States to give
effect to this Order and to assist the Sellers and their agents in carrying out the terms of this
Order.
All courts, tribunals, regulatory and administrative bodies are hereby respectfully
requested to make such orders and to provide such assistance to the Sellers as may be necessary
or desirable to give effect to this Order or to assist the Sellers and their agents in carrying out the
terms of this Order.

RECITALS:
A.
Pursuant to an Order of the Honourable Mr. Justice Morawetz (as he then was) of the
Ontario Superior Court of Justice (Commercial List) (the "Court") dated July 9, 2013, the
restructuring proceedings of 923451 Ontario Limited (formerly known as Comstock Canada
Ltd.) ("Comstock"), CCL Equities Inc., and CCL Realty Inc. ("CCL Realty") were continued
under the Companies' Creditors Arrangement Act, R.S.C. 1985, c. C-36, as amended and
PricewaterhouseCoopers Inc. was appointed as the Monitor (the "Monitor").
B.
Pursuant to an Order of the Court dated December 13, 2013, the Court approved the
Agreement of Purchase and Sale made as of November 28, 2013 as amended by an Amending
Agreement dated December 7, 2013 and as further amended by a Second Amending Agreement
dated December 12, 2013 (the "Sale Agreement") between Comstock and CCL Realty (the
"Sellers") and HB Construction Company Ltd., an Alberta corporation (carrying on business in
the Province of British Columbia under its assumed name, HBBC Construction Company Ltd.)
(the "Purchaser") and provided for the vesting in the Purchaser of the Sellers' right, title and
interest in and to the Assets.
C.
Pursuant to an Order of the Court dated April
Agreement dated April
, 2014, the Court approved an Amending
, 2014 (the "Amending Agreement") between the Sellers and the
Purchaser and provided for the vesting in the Purchaser of the Sellers' right, title and interest in
and to the RSW Claim, which vesting is to be effective with respect to the RSW Claim upon the
delivery by the Monitor to the Purchaser of a certificate confirming (i) that the conditions to the
effectiveness of the amendment set out in the Amending Agreement have been satisfied or
waived by the Sellers and the Purchaser; and (ii) the assignment of the RSW Claim has been
completed to the satisfaction of the Monitor and the Sellers.
C.
Unless otherwise indicated herein, terms with initial capitals have the meanings set out in
the Sale Agreement.
THE MONITOR CERTIFIES the following:

The conditions to the effectiveness of the amendment as set out in the Amending
Agreement have been satisfied or waived by the Sellers and the Purchaser; and
2.
The assignment of the RSW Claim has been completed to the satisfaction of the Monitor
