NOTICE OF MOTION
(Directions with respect to the Sick Kids Research Tower Project)
HONEYWELL LIMITED ("Honeywell") will make a motion to a Judge of the
Superior Court of Justice Commercial List on a date to be fixed at a 9:30 a.m. scheduling hearing
on Friday, August 16, 2013, at 9:30 a.m. at the Cou rt House located at 330 University Avenue,
Toronto, Ontario.
PROPOSED METHOD OF HEARING: The motion is to be heard orally.
THE MOTION IS FOR:
1.
An order abridging the time for service of the Notice of Motion and Motion Record, if
necessary, and declaring that this motion is properly returnable on Friday, August 16 th,
2013, and dispensing with further service thereof;
2.
Advice and directions with respect to payment for services or materials supplied by
Honeywell to the Sick Kids Research Tower Project (the "Project") subsequent to June
28, 2013 by either Comstock C anada Ltd. ("Comstock") or Ellis-Don Corporation
("Ellis-Don");
3.
In the alternative, directions requiring Comstock to immediately disclaim or affirm the
sub-contract between Comstock and Honeywell made on or about the 1st day of June,
2010 (the "Honeywell Sub-Contract") with respect to the Project;

In the further alternative, a declaration that Section 34(1) of the CCAA does not apply to
the Honeywell Sub-Contract; and
5.
Such further and other relief as this Honourable Cou rt may deem just.
THE GROUNDS FOR THE MOTION ARE:
1.
Honeywell and Comstock entered into the Honeywell Sub-Contract with respect to the
supply of all labour, materials, equipment, supervision, etcetera to complete building
automation systems and controls, all in accordance with ce rtain plans, specifications and
addendums describing the scope of work.
2.
On June 28, 2013 Comstock filed a Notice of Intention to make a proposal pursuant to
Section 50.4(1) of the Bankruptcy and Insolvency Act (Canada);
3.
On July 9, 2013 the above proceedings were continued under the provisions of the
Companies' Creditors Arrangement Act pursuant to an initial order dated July 9, 2013
(the "Initial Order").
The Initial Order was subsequently amended pursuant to an
amended and restated initial order dated July 26, 2013 (the "Amended and Restated
Initial Order");

The first repo rt to the Court by the Monitor, dated July 9, 2013, indicated that there were
approximately 38 Comstock projects in which accounts payable exceed accounts
receivable owing to Comstock. The repo rt indicates that DIP financing was being sought
in order to proceed with ce rtain projects;
5.
Subsequent to June 28, 2013, Honeywell has continued to perform work and supply
materials to the Project. Honeywell has not been paid for such post-filing work;
6.
By letter dated July 18, 2013 from counsel for Honeywell to counsel for Comstock and
the Monitor, Honeywell sought, inter alia, advice with respect to Comstock's intentions
with respect to the Project;
7.
By letter dated July 25, 2013 from counsel to Honeywell to counsel for Comstock, the
Monitor and Ellis-Don, Honeywell again sought Comstock's advice as to whether it

intended to proceed with or abandon the Project. In addition, Honeywell advised that
unless it received satisfactory information it would require that COD arrangements be put
in place;

In an affidavit of Brent Cowie, an employee of COFELY Adelt Ltd. sworn July 25, 2013,
filed in support of a motion brought by COFELY Adelt Ltd., Mr. Cowie described the
state of confusion existing at the Project. Mr. Cowie advises that the general contractor,
Ellis-Don, has brought a new contractor, Kelson Mechanical Contractors ("Kelson") to
perform certain work upon the Project. There is confusion as to whether Comstock is
still engaged in the Project;

In the Monitor's third repo rt to the Court, dated August 6, 2013, the Monitor advises:
"29. The company has currently identified approximately 34 projects that are
under review for determination as to how such contracts will be completed with
the support of the customer, or, if there is no pl an and/or suppo rt, abandoned as
discussed below ("Reviewable Contracts")."

The Project is listed as one such project. The Monitor's repo rt does not give any
indication as to when a decision will be made concerning the continuance or
abandonment of this Project;
11.
By letter dated August 9, 2013, counsel for Honeywell advised counsel for Comstock, the
Monitor and Ellis-Don that Honeywell was not prepared to allow its post-filing exposure
with respect to the Project to increase and that further work on the Project would only be
done if arrangements are put in place for Honeywell to receive payment in advance;

Honeywell is presently in a "phantom zone". It cannot terminate its contract with
Comstock, despite Comstock's failure to pay for post-filing services and materials, due to
the stay of proceedings in the Amended and Restated Initial Order. However, despite the
stay being in place since June 28, 2013, neither Comstock or Ellis-Don have provided
any acceptable path forward with respect to the Project. Honeywell requires clarification
with respect to payment for post-filing work or the formal termination of the Honeywell
Sub-Contract;

The provisions of Section 11.01, 32 and Section 34(6) of the CCAA; an d

permit.
