THE GROUNDS FOR THE MOTION ARE: Filing of NOI (a) On Friday, June 28, 2013 (the “Filing Date”), the Comstock Group filed Notices of Intention to Make a Proposal pursuant to the Bankruptcy and Insolvency Act, R.S.C. 1985, c. B-3 (the “BIA”) and appointed PricewaterhouseCoopers Inc. (“PwC’) as the Proposal Trustee in respect of the proposal proceedings; (b) On Wednesday, July 3, 2013, the Honourable Mr. Justice Morawetz issued an Order, inter alia, appointing PwC as Interim Receiver for the limited and specific purpose of ensuring Comstock’s payroll was funded by July 4, 2013; 3 -3- Issuance of CCAA Initial Order (c) On Tuesday, July 9, 2013, the Comstock Group sought and were granted protection pursuant to the Companies’ Creditors Arrangement Act, R.S.C. 1985, c. C-36, as amended (the “CCAA”) and the Honourable Mr. Justice Morawetz issued the Initial Order, inter alia, (i) continuing the Comstock Group’s restructuring proceedings under the CCAA, effective as at July 9, 2013; (ii) granting the Initial Order under the CCAA in respect of the Comstock Group, including a stay of proceedings; (iii) appointing PwC as the Monitor of the Comstock Group; (iv) approving the Cost Reimbursement Agreement entered into by Comstock and Rio Tinto Alcan Inc.; and (v) approving the Commitment Letter made between Comstock and the Bank of Montreal (“BMO”) and the granting of a DIP Lender’s Charge and corresponding priority in favour of BMO; Issuance of Amended & Restated Initial Order (d) On July 26, 2013, Justice Morawetz issued an Amended & Restated Initial Order, inter alia, ordering and declaring that no Person shall be permitted to preserve or perfect a lien under the (i) Construction Lien Act, R.S.O. 1990, C.30, as amended, (ii) the Builders' Liens Act, C.C.S.M. c. B-91, (iii) the Builders' Lien Act, R.S.A. 2000, c B-7, or (iv) the Builders Lien Act, S.B.C. 1997, C. 45; Issuance of St. Joe’s Settlement Approval Order (e) On July 26, 2013, Justice Morawetz issued Orders, inter alia, (i) approving the Settlement Agreement made among the Comstock Group, PCL Constructor Canada Inc., Honeywell Limited, Class 1 Incorporated, Sonepar Canada Inc., Anixter Canada Inc., 4361814 Canada Inc. c.o.b. as Noble Trade, NCS International Inc., Rexel Canada Electrical Inc., and United Rentals of Canada Inc., entered into a Settlement Agreement dated July 25, 2013, in 4 -4- respect of the St. Joseph’s Hamilton Healthcare West 5th Campus Redevelopment Project (the “St. Joe’s Project”); and (ii) Discharging various liens in respect of the St. Joe’s Project; Issuance of Critical Supplier Order (f) On July 26, 2013, Justice Morawetz issued an Order, inter alia, (i) declaring Refac Industrial Contractors Inc. As such, I have personal knowledge of the matters to which I depose in this Affidavit, save and except where I refer to matters based on information and belief, in which case I have stated the source of my information and, in all such cases, I verily believe that information to be true. In preparing this Affidavit, I have consulted with the members of the Comstock Group’s senior management team. I. PURPOSE 2. I am swearing this Affidavit in support of a motion by the Comstock Group for an Order, inter alia, (a) approving the Sale and Investor Solicitation Process (the “SISP”) as described herein and to be appended to the Third Report to Court of PricewaterhouseCoopers Inc. in its capacity as the Monitor (in such capacity, the “Monitor”) of the Comstock Group; (b) authorizing the Monitor and the Comstock Group to carry out the SISP, subject to any 14 -2- amendments or modifications to the SISP that the Monitor and the Comstock Group consider appropriate; and (c) extending the stay of proceedings (the “Stay Period”) as ordered pursuant to the Amended & Restated Initial Order of Justice Morawetz dated July 9, 2013 (the “Amended & Restated Initial Order”) in respect of the Comstock Group to and including December 17, 2013. II. BACKGROUND A. The Comstock Group 3. Comstock is a privately-held corporation incorporated pursuant to Ontario’s Business Corporations Act with its headquarters located in Burlington, Ontario, Canada and with a western office located in Edmonton, Alberta. Comstock maintains additional regional facilities in Sudbury, Thunder Bay, Winnipeg, Calgary, Edmonton, and Kitimat British Columbia. 4. Established in 1904, Comstock is one of Canada’s largest multi-disciplined contractors, currently contracting the services of over 1,000 unionized and non-unionized trades people and 80 salaried employees across Canada. For over 100 years, Comstock has provided a broad capability in the completion of large scale electrical and mechanical contracts to the planning, directing, and execution of multi-trade, multi-million dollar commercial, industrial, institutional, automotive, nuclear, oil and gas, overhead and underground, and structural steel assignments. Recent projects include, inter alia, work for Enbridge Pipelines Incorporated, Shell Canada Limited, Petro Canada, Imperial Oil Limited, Ontario Power Generation, Bruce Nuclear Power, Ford Motor Company, Chrysler Canada Inc., Winnipeg Airport Authority Inc., and Cadillac Fairview Corporation. In 2012, Comstock provided services to over 130 customers and has several recurring customers that repeatedly turn to Comstock for their construction needs. B. CCL Realty and CCL Equities 5. Comstock and CCL Realty, a real estate holding company which holds all of the Comstock Group’s real property, are the direct and wholly-owned subsidiaries of CCL Equities - 15 -3- a holding company incorporated pursuant to Ontario’s Business Corporations Act with its headquarters located in Burlington, Ontario, Canada. C. 2011 Management Buyout 6. In 2011, a management buyout was executed in respect of Comstock. Prior to this time, Comstock was a wholly owned subsidiary of a US publicly traded company. D. Filing of Notices of Intention to Make a Proposal 7. On June 27, 2013, Chrysler Canada locked out Comstock from the performance of its contract at facilities in Ontario. In response to Chrysler Canada’s lockout, and as a result of unsuccessful negotiations with a potential bridge financier, Comstock’s Board of Directors determined that the Comstock Group, in the exercise of their business judgment, had no other readily available options but to file Notices of Intention to Make a Proposal (the “NOIs”) pursuant to s. 50.4(1) of the Bankruptcy and Insolvency Act, R.S.C. 1985, c. B-3 (the “BIA”) on Friday, June 28, 2013 (the “NOI Proceedings) in order to preserve the status quo and prepare for a restructuring under the Companies’ Creditors Arrangement Act, R.S.C., 1985, c. C-36 (the “CCAA”). A copy of the Certificates of Filing of the NOIs are attached hereto as Exhibits “A”, “B”, and “C”. E. Appointment of Interim Receiver for Limited Purpose 8. On July 3, 2013, Justice Morawetz issued an Order, inter alia, appointing PwC as Interim Receiver for the limited and specific purpose of ensuring Comstock’s payroll was funded by July 4, 2013. Copies of the Order of Justice Morawetz dated July 3, 2013, the corresponding Endorsement dated July 3, 2013, and the corresponding Reasons dated July 12, 2013, are attached hereto as Exhibits “D”, “E”, and “F”. 16 -4- III. GRANTING OF CCAA INITIAL ORDER A. Initial Order 9. On July 9, 2013, Justice Morawetz granted the Initial Order, inter alia, (a) continuing the Comstock Group’s restructuring proceedings under the CCAA, effective as at July 9, 2013; (b) extending the stay of proceedings to August 8, 2013; and (c) approving the DIP Loan Commitment Letter made between Comstock and the Bank of Montreal (or DIP Lender) and the granting of a DIP Lender’s Charge (as defined in the Initial Order). Copies of the Initial Order and the corresponding Reasons dated July 16, 2013, are attached hereto as Exhibits “G” and “H”. In support of the motion seeking the Initial Order, the Comstock Group filed the Affidavit of Geoffrey W. Birkbeck, sworn July 9, 2013, a copy of which is attached hereto (without exhibits) as Exhibit “I” and the Supplemental Affidavit of Geoffrey W. Birkbeck, sworn July 9, 2013, a copy of which is attached hereto (without exhibits) as Exhibit “J”. B. Approval of RioTinto Alcan Inc. Cost Reimbursement Agreement 10. In order to avoid disruption to the ongoing operations of one of Comstock’s major customers, Rio Tinto Alcan Inc. (“RioTinto”), at its Kitimat Modernization Project (the “Kitimat Project”) and to minimize the safety risks that could incur in the event of such a disruption, RioTinto agreed to a Cost Reimbursement Agreement made as of July 9, 2013 with Comstock (the “RTAI Cost Reimbursement Agreement”) in order to ensure that the Kitimat Project continues in an uninterrupted manner. Pursuant to the RTAI Cost Reimbursement Agreement, RioTinto also agreed to a cost sharing mechanic with BMO, which covers certain portions of the costs for overhead, infrastructure, and administrative costs incurred by Comstock which are beneficial to the Kitimat Project. 17 -5- 11. On July 9, 2013, as part of the Initial Order, Justice Morawetz approved the RTAI Cost Reimbursement Agreement and authorized Comstock to take such additional steps and execute such additional documents as were contemplated by the RTAI Cost Reimbursement Agreement and as may be reasonably required by RioTinto in order to carry out the intention of the RTAI Cost Reimbursement Agreement. C. Prescribed Notices and Advertisements 12. Since the filing of the NOIs, PwC, in its capacity as Proposal Trustee, and then subsequently Monitor of the Comstock Group, has posted and maintained on its publicly available website, on a rolling basis, the NOIs, Court Orders, motion materials, and the Monitor’s First and Second Reports to Court. 13. In accordance with the terms of the Initial Order the Monitor has published a prescribed Notice in respect of the CCAA proceedings in the Globe and Mail (National Edition) and the Daily Commercial News. IV. RESTRUCTURING ACTIVITIES SINCE ISSUANCE OF INITIAL ORDER A. Issuance of Amended & Restated Initial Order 14. On July 26, 2013, Justice Morawetz issued an Amended & Restated Initial Order, which specifically provided, inter alia, that: “…no Person shall be permitted to preserve or perfect a lien under the Construction Lien Act, R.S.O. 1990, C.30, as amended (the “Ontario CLA”), the Builders' Liens Act, C.C.S.M. c. B-91 (the “Manitoba BLA”), the Builders' Lien Act, R.S.A. 2000, c B-7 (the “Alberta BLA”), or the Builders Lien Act, S.B.C. 1997, C. 45 (the “B.C. BLA”), including, without restricting the generality of the foregoing, (a) registering a Claim for Lien under s. 34(1)(a) of the Ontario CLA, the Manitoba BLA, the Alberta BLA, or s. 15 or s. 18 of the B.C. BLA with respect to any lands to which the Applicants have supplied services or materials, (b) registering a Certificate of Action under s. 36 of the Ontario 18 -6- CLA, the Manitoba BLA, the Alberta BLA, or commencing proceedings pursuant to section 26 of the B.C. BLA, with respect to any lands to which the Applicants have supplied services or materials; and (c) serving a Claim for Lien under s. 34(1)(b) of the Ontario CLA, the Manitoba BLA, the Alberta BLA, or delivering a Notice of Lien under s. 24(2) of the Ontario CLA, with respect to any project(s) to which any of the Applicants is a contracting party and/or is supplying goods and/or services except with the written consent of the Applicants and the Monitor, or with leave of this Court.” Copies of the Amended & Restated Initial Order, together with a copy of the corresponding Endorsement, are attached hereto as Exhibits “K” and “L” B. Approval of St. Joe’s Settlement Agreement 15. The St. Joe’s Project (defined below) is an ongoing Comstock Project which includes approximately 800,000 square feet of new construction in Hamilton, Ontario. Comstock is the mechanical and electrical subcontractor for PCL Constructors Canada (“PCL”) in respect of the St. Joe’s Project. 16. In order to resolve the lien issues relating to the St. Joe’s Project where a number of Post- Filing Liens (defined below) had been registered and which had effectively halted cash flow on the St. Joe’s Project, a Settlement Agreement was entered into between Comstock, PCL, Honeywell Limited, Class 1 Incorporated, Sonepar Canada Inc., Anixter Canada Inc., 4361814 Canada Inc. c.o.b. as Noble Trade, NCS International Inc., Rexel Canada Electrical Inc., and United Rentals of Canada Inc. (collectively, save and except Comstock and PCL, the “St. Joe’s Lien Claimants”), dated July 2, 2013 (the “Settlement Agreement”), in respect of the St. Joseph’s Hamilton Healthcare West 5th Campus Redevelopment Project (the “St. Joe’s Project”). 17. The Settlement Agreement documents the agreement of Comstock, PCL, and the St. Joe’s Lien Claimants, to resolve, inter alia, (a) the payment of the Pre-Filing amounts owing in respect of the St. Joe’s Project; (b) the discharge or vacating of the liens in respect of the St. Joe’s Project; and (c) the protection and certainty to be provided to PCL in consideration for 19 -7- PCL’s continuing to advance funds to the St. Joe’s Project during the Comstock Group’s CCAA proceedings. 18. On July 26, 2013, Justice Morawetz issued (a) an Order approving the St. Joe’s Settlement Agreement, and (b) an Order discharging and/or vacating various liens in respect of the St. Joe’s Project. Copies of the St. Joe’s Settlement Agreement Order and the St. Joe’s Lien Discharge Order are attached hereto as Exhibits “M” and “N”. C. Declaration of Refac as Critical Supplier 19. On July 26, 2013, Justice Morawetz issued an Order (a) declaring Refac Industrial Contractors Inc. (“Refac”) to be a critical supplier of Comstock; (b) ordering Refac to supply goods or services to Comstock; (c) and authorizing Comstock to pay Refac, as a critical supplier, certain pre-filing amounts being $168,000, in exchange for the supply of approximately 64,000 pounds of fabricated steel for a Suncor Energy Inc. (“Suncor”) project in Fort McMurray, Alberta (the “Fort McMurray Project”). Comstock is responsible for the erection of buildings at the Fort McMurray Project for Suncor, which is currently one of Comstock’s most important clients. Copies of the Refac Critical Supplier Order and the corresponding Endorsement are attached hereto as Exhibits “O” and “P”. D. Disclaimer of Agreements 20. From July 19, 2013, to July 23, 2013, Comstock delivered a number of Notices of Disclaimer in respect of various agreements and leases in respect of facilities and equipment. The entities to whom Notices of Disclaimer have been delivered include: (a) Delta Square Developments Ltd., in respect of a lease of real property located at #100, 18020 – 105 Edmonton, Alberta, pursuant to a Notice of Disclaimer dated July 19, 2013; (b) On Main Inc., in respect of a lease of real property located at 400 Parkdale Avenue North, Hamilton, Ontario, pursuant to a Notice of Disclaimer dated July 19, 2013; 20 -8- (c) On Main Inc., in respect of a lease of real property located at 2, 400 Parkdale Avenue North, Hamilton, Ontario, pursuant to a Notice of Disclaimer dated July 19, 2013; (d) Western Corporate Business Centre, Inc., in respect of a lease of real property located at #3300, 205 5th Avenue S.W., Calgary, Alberta, pursuant to a Notice of Disclaimer dated July 19, 2013; (e) Modular Space Corporation and Modspace Financial Services Canada, Ltd., in respect of a lease of a 60’ x 60’ designer complex located in Sudbury, Ontario, pursuant to a Notice of Disclaimer dated July 19, 2013; (f) R&L Van Dyk, in respect of a lease of real property located at 408, 10520 56 Avenue, Edmonton, Alberta, pursuant to a Notice of Disclaimer dated July 19, 2013; (g) Meyers Management Consulting Group, in respect of a lease of real property located at 2414-38 Riedel Street, Fort McMurray, Alberta, pursuant to a Notice of Disclaimer dated July 23, 2013; and (h) CBSC Capital Inc. in respect of a number of leases in respect of equipment located in Ontario, Manitoba, Alberta, and Newfoundland, pursuant to a number of Notices of Disclaimer dated July 19, 2013 and July 23, 2013; V. REGISTRATION OF LIENS AFTER NOI FILING DATE 21. By virtue of the filing of the NOIs and the terms of the Initial Order, all entities and persons were stayed from commencing or continuing any proceedings or exercising any rights and remedies against the Comstock Group or affecting the business or property of the Comstock Group. 22. Despite and in complete disregard of the Comstock Group’s filing of NOIs and the issuance of the Initial Order, as at Thursday, August 1, 2013, approximately thirty six (36) 21 -9- entities have registered Claims for Lien, Certificates of Action, or delivered Notices of Lien after the NOI Filing Date (the “Post-Filing Liens”) in respect of the various projects to which the Comstock Group supplies services and/or materials in the aggregate amount of approximately $19,916,524.32. 23. By way of update to my Affidavit sworn July 25, 2013 in this proceeding, as at Thursday, August 1, 2013, the lien registrations that have been made in respect of Comstock Projects can be categorized as follows: (a) approximately 19 lien registrations and/or notices of lien were made in respect of Comstock Projects in the aggregate approximate amount of $11,344,597.09 prior to June 28, 2013 (the “Pre-NOI Filing Liens”); (b) approximately 14 lien registrations and/or notices of lien were made in respect of Comstock Projects on or following the NOI Filing Date in the aggregate approximate amount of $13,448,842.96 (the “Post-NOI Filing Liens”); and (c) approximately 56 lien registrations and/or notices of lien were made in respect of Comstock Projects on or following the issuance of the Initial Order in the aggregate approximate amount of $6,467,681.36 (the “Post-CCAA Filing Liens”). A summary of the foregoing lien registrations and notices, broken down by date, is set out in the lien timing summary attached hereto as Exhibit “Q”. 24. By registering the lien claimants are effectively “liening for leverage” with a view to enhancing their negotiating position vis-à-vis the Comstock Group and with the other parties to the applicable agreement with the Comstock Group. The registration of Post-Filing Liens is seriously prejudicing the restructuring and will jeopardize the Comstock Group’s efforts to reorganize if this current trend of lien registrations continues as it disrupts the flow of funds among the owners, general contractors, and sub-trades. Such interruptions, in turn, cause project delays, further costs, and disrupt the progress of projects. 22 - 10 - VI. CHARGE PRIORITY CHALLENGE & LIEN REGULARIZATION MOTION A. Charge Priority Challenge 25. On August 1, 2013, certain lien claimants, being Cofely Adelt Ltd. Rexel Canada Electrical Inc., 4361814 Canada Inc. c.o.b. as Noble Trade, Class 1 Incorporated, Emco Corporation, and NCS International Inc. (the “Dissenting Lien Claimants”) sought to challenge, among other things, the priority of the DIP Lender’s Charge and other charges as set out in the Amended & Restated Initial Order. At the return of the hearing, the Court was advised that the Dissenting Lien Claimants challenge to the priority of the DIP Lender’s Charge and other charges had been withdrawn. I.W. Kuhn Environmental Ltd. and I.W. Kuhn Environmental Corp. also withdrew their challenge to the priority of the DIP Lender’s Charge. Justice Morawetz memorialized the foregoing in his Endorsement, noting that without objection by any party present, the relief sought as set out in the Dissenting Lien Claimants Notice of Motion had been withdrawn, with prejudice. A copy of the Endorsement of Justice Morawetz dated August 1, 2013, reflecting the foregoing is attached hereto as Exhibit “R”. B. Lien Regularization Motion 26. On August 1, 2013, the Comstock Group brought a motion seeking to regularize the lien registrations in respect of all Comstock Projects. With a view to arriving at a consensual Order to remedy the problem of existing and ongoing lien registrations, the motion was adjourned to be heard on August 7, 2013. A copy of the Endorsement of Justice Morawetz dated August 1, 2013, reflecting the foregoing is attached hereto as Exhibit “S”. VII. SALE & INVESTOR SOLICITATION PROCESS 27. The Comstock Group, in conjunction with the Monitor, seeks the Court’s approval of the SISP with a view to (a) marketing the assets, property, and business of the Comstock Group for sale, and/or (b) attracting new investors for the Comstock Group. 23 - 11 - 28. The Monitor’s Third Report will provide a detailed description of the SISP together with a copy of the SISP for approval by the Court. VIII. PROPOSED EXTENSION OF THE STAY PERIOD 29. The Comstock Group requires the extension of the Stay Period in order to continue its restructuring and conduct the SISP. 30. Comstock understands that the updated cash flow projections to be included in the Monitor’s Third Report will project that the Comstock Group will have sufficient funding to continue operating beyond December 17, 2013. 31. The Monitor has indicated that it supports and extension of the Stay Period until December 17, 2013. In light of the anticipated offer deadlines in the SISP, it is anticipated that the Comstock Group will attend before the Court before the proposed expiry date of the Stay Period to update the Court on the results of the SISP and the Comstock Group’s proposed next steps. 32. I do not believe that any creditor of the Comstock Group will suffer any material prejudice if the Stay Period is extended until December 17, 2013. 33. The Comstock Group has acted, and continues to act, in good faith and with due diligence in its restructuring. IX. CONCLUSION & RELIEF SOUGHT 34. The Comstock Group has taken significant steps to stabilize its business and restructuring since the issuance of the Initial Order on July 9, 2013. The Comstock Group is seeking the extension of the Stay Period and the approval of the SISP at this time in order to allow Comstock to continue to protect its business and preserve its value while proceeding with its restructuring. 35.
