INTRODUCTION 1.1 Court granting the Company protection from its creditors pursuant to the Arrangement Act CCAA Monitor 1.2 On April 17, 2015, the Court: 1.2.1 Approved an amend Amended and Restated Initial Order ARIO proceedings against the Company until June 12, 2015; 1.2.2 Authorized the Company to borrow up to $5 million under an Interim Lending Fa interest, fees, costs and other amounts payable under the Interim Loan Agreement between the Company and Maynards Financial Limited Partnership, dated March 18, 2015; 1.2.3 Authorized the Monitor, with the assistance of the Company and a Financial Advisor, to proceed with a process for the solicitation of all offers to invest in the 1.2.4 1.3 Company Initial Order going concern or otherwise (the Solicitation Process and Established the Administration Charge, the the CCAA Charges On June 12, 2015, the Court granted an Order that: 1.3.1 Extended the stay of proceedings under the ARIO to June 26, 2015; and 1.3.2 Authorized the Company to make further draws on the Interim Lending Facility (as defined in the ARIO) prior to June 26, 2015, provided the principal amount advanced does not exceed $3 million. 1 YUKON ZINC CORPORATION August 4, 2015 1.4 On June 26, 2015, the Court granted an Order, the Claims and Contract Process Order CCPO which among other things: 1.4.1 Extended the stay of proceedings under the ARIO to August 14, 2015; 1.4.2 Required the Company to advise the Monitor in writing, by no later than July 31, 2015, as to whether the Company will file a plan of arrangement and whether JDC Canada is supportive of the plan of arrangement in the event the Company seeks to carry out its own restructuring; 1.4.3 Required the Company to bring an application to Court, by no later than August 14, 2015, to seek authorization to distribute the proposed plan of arrangement to creditors and to convene a meeting of creditors to consider and vote on the proposed plan of arrangement in the event the Company seeks to carry out its own restructuring; 1.4.4 Required the Company to not make any payment or expenditure in excess of $5,000 without first obtaining the consent of the Monitor; 1.4.5 Authorized the creation of the Mine Employee Charge and the payment of and 1.4.6 Authorized the Claims and Executory Contract Identification Process, as defined within the CCPO. 1.5 At the Court hearing on June 26, 2015, parties expressed a desire for the Monitor to report on the claims received shortly after the Claims Bar Date to enable creditors to further enquire into the nature and quantum of claims. The result was the addition of paragraph 41 (a) to the CCPO which requires the Monitor to report to Court within seven (7) days of the Claims Bar Date / Executory Contract Bar Date as to the outcome of the Claims Process / the Executory Contract Identification Process. 1.6 The Monitor has previously filed seven reports and one supplemental report. This is the Eighth Report to Court. The purpose of this report is to: 2 YUKON ZINC CORPORATION August 4, 2015 1.6.1 Advise the Court on whether the Monitor received confirmation by July 31, 2015 from the Company that it intends to file a plan of arrangement; and 1.6.2 Provide the Court and other interested parties with the preliminary results of the Claims Process and the Executory Contract Identification Process. 1.7 Unless otherwise stated, all monetary amounts noted herein are expressed in Canadian dollars. 1.8 Capitalized terms not otherwise defined herein are as defined in previous reports of the Monitor. 1.9 The Monitor has created a website at www.pwc.com/car-yukonzinc. All prescribed materials filed by the Company and the Monitor relating to this CCAA proceeding are website. The Monitor will make regular updates to the website to ensure that creditors and interested parties are kept current and to add prescribed materials as required. 2. CONFIRMATION OF COMP 2.1 3. ILE A PLAN The Company notified the Monitor on July 31, 2015 that it intends to file a plan of arrangement with its creditors and that JDC Canada is supportive of the plan of arrangement. A copy of the letter from the Company to the Monitor is attached as Appendix A. ACTIVITIES OF THE MONITOR WITH RESPECT TO THE CCPO Claims Process 3.1 Pursuant to the CCPO, the Monitor: 3.1.1 On June 29, 2015, posted on its website the CCPO, the Claims Process Instruction Letter, blank Proof of Claim form, and the blank Notice of Dispute form; 3 YUKON ZINC CORPORATION August 4, 2015 3.1.2 On July 2, 2015, sent the Claims Package to all creditors with claims against the Company at the Filing Date and to each counter party who received Notice of Disclaimer or Resiliation prior to the date of the CCPO; 3.1.3 On July 2, 2015, sent the Claim Amount Notice to the former employees of the Company; and 3.1.4 On July 3, 2015, caused the Newspaper Notices to be published in the Vancouver Sun and in the Yukon News. Executory Contract Identification Process 3.2 Pursuant to the CCPO, the Monitor: 3.2.1 On June 29, 2015, posted on its website the CCPO, the Executory Contract List, Executory Contract Instruction Letter, and Proof of Executory Contract; and 3.2.2 On July 2, 2015, sent the Executory Contract Package, in the prescribed form, to each person to whom a payment had been made by the Company within the sixrecords. 4. PRELIMINARY RESULTS OF THE CLAIMS PROCESS 4.1 Under the CCPO, the Monitor is required to issue a report within seven days of the Claims Bar Date that sets out the claims received including the name of the creditor, the amount of the claim filed and the nature of the claim (i.e. secured or unsecured). The Company, with the assistance of the Monitor, is currently reviewing all non-related party claims received and where appropriate, will be issuing Notices of Disallowance for claims that are deemed not to be admissible. The Monitor will be reviewing all related party claims. The Monitor notes that the claims information contained in this report (including the appendices) is preliminary and does not represent the final claims admitted. 4.2 Under the CCPO, any creditor requiring further information regarding the preliminary results of the Claims Process or the Executory Contract Identification Process, as set out herein, with respect to the nature or amount of any claim filed has seven days to notify the Monitor and the Monitor shall forthwith reply to any such reasonable requests for 4 YUKON ZINC CORPORATION August 4, 2015 matter raised by the creditor warrants further consideration or resolution, the Monitor shall bring the matter to the Court to seek further advice and directions. 4.3 Attached as Appendix B and summarized in the table below are the claims received as at July 31, 2015: Summary of Claims Filed Secured Unsecured Total 4.4 # 9 310 319 $ 606,803,118 47,661,103 654,464,221 The Monitor notes the following with respect to the nine secured claims filed: 4.4.1 Alkan Air Ltd. and s liens; 4.4.2 Caterpillar Financial Services Limited, Ford Credit Canada Limited, Industrial Fabrication Inc., Konica Minolta Business Solutions (Canada) Ltd. and Sandvik Customer Finance LLC filed secured claims in relation to equipment and vehicles leased or rented to the Company; and 4.4.3 JDC Canada filed two claims: 4.4.3.1 s North Transportation Inc. filed secured claims in relation A claim for $596 million with respect to its secured loans to the Company; and 4.4.3.2 A claim for $6.6 million with respect to a m from Procon Mining and Tunneling Ltd. that was assigned As noted above, the Monitor will be reviewing both secured related party claims. 5 YUKON ZINC CORPORATION August 4, 2015 4.5 The Monitor notes the following with respect to the 310 unsecured claims filed: 4.5.1 Three of the unsecured claims filed are from related parties: 4.5.1.1 A claim from Shaanxi Zinc Industry Co. Ltd., a Chinese entity and customer that is best described as a cousin to the Company, for $20.2 million; 4.5.1.2 A claim from Jing You Lu , for loans of $121,396 advanced to the Company in January 2015 to cover payroll and bank interest; and 4.5.1.3 Ai Hua Dang COO, for loans of $74,124 advanced to the Company in December 2014 to cover payroll and bank interest. These three claims represent the only related party claims that the Monitor is aware of. 4.5.2 5. 131 of the claims filed relate to former employees of the Company with respect to their unpaid severance claims. PRELIMINARY RESULTS OF THE EXECUTORY CONTRACT IDENTIFICATION PROCESS 5.1 The Company had previously identified 49 executory contracts which comprised the Executory Contract List that . Parties who were identified on the Executory Contract List were not required to file a Proof of Executory Contract if they did not dispute the information set out on the Executory Contract List. 5.2 The Monitor received 20 Proofs of Executory Contract which identified 30 additional contracts. 5.3 Attached, as Appendix C, is the Executory Contract List updated as at July 31, 2015, which sets out 79 executory contracts in total. 6 YUKON ZINC CORPORATION August 4, 2015 This report is respectfully submitted this 4th day of August, 2015.
