Va. Code Ann. § 15.2-2303 gives the Board of Supervisors broad authority to accept proffers, which are
voluntary commitments proposed by developers as part of a rezoning application. Because proffers are
voluntary in nature, they cannot be required of a developer. Once accepted, proffers become a part of the
Zoning Ordinance, and they may only be amended by the Board after the requisite public hearings before
the Planning Commission and the Board. The specific language of the proffer must be examined to
determine how a cash proffer may be spent. Generally, if the cash was proffered for a particular
improvement specified in the proffer, then the money must be expended for that purpose and none other.
Conversely, if the proffer states that the cash payment may be used for a broad range of purposes, then the
money may be used for any of the specified purposes.
Va. Code Ann. § 15.2-2303.2, in the most general terms, states that the governing body of any locality
accepting a cash proffer on or after July 1, 2005, must commence work on the project within 12 years.
Alternatively, unless prohibited by the terms of the proffer, the cash proffer may be used for a capital
improvement of the same category in the vicinity of the site of the original commitment, provided the
entity paying the cash payment is notified and the Board finds, after holding a duly advertised public
hearing, that certain detailed criteria in the statute are met. Effective July 1, 2013, Va. Code Ann. § 15.22303.2 also provides that “[n]o cash payment proffered . . . shall be used for any capital improvement to
an existing facility, such as a renovation or technology upgrade, that does not expand the capacity of such
facility or for any operating expense of any existing facility such as ordinary maintenance or repair.”
Virginia Code Ann. § 15.2-2303.3 states that no locality may require payment of a cash proffer prior to
the developer’s payment of building permit fees for construction on property that is the subject of a
rezoning. The same statute regulates the rate of inflation that may be used in a proffer and precludes a
locality from accepting a proffer that purports to waive any future rights.
Finally, pursuant to Va. Code Ann. § 15.2-2303.1:1, which was adopted in 2010 and expires on July 1,
2017, cash proffers accepted for residential construction on a per-dwelling unit or per-home basis may
only be collected or accepted by a locality after completion of the final inspection and prior to the time of
issuance of any certificate of occupancy for the subject property.
Combining Proffers:
Proffers can be combined to provide for a common project. However, all proffers are voluntary and the
ability to combine proffers is largely determined by the intent of the applicant and the wording of the
proffer. Staff encourages applicants to word proffers in a way to allow flexibility in their use, particularly
when they provide partial funding for (or contribution to) a large capital project
2 Proffer Tracking:
The following provides an overview of proffer tracking in Fairfax County:
Zoning Approval/Proffer Initiation:
• The Department of Planning and Zoning (DPZ)/Zoning Evaluation Division (ZED) accepts
zoning applications and establishes a record in the ZAPS/LDSystem. Information on the
application, including proffers, is entered in ZAPS/LDSystem from acceptance of the zoning
application through approval by the Board of Supervisors and closeout.
• When the application is closed out, a list of proffers including categories, sub-categories, triggers,
comments, pertinent dates, and actions are entered into ZAPS/LDSystem and the full text of the
proffer statements are scanned into system.
• Relevant agencies (Department of Transportation (DOT), Fairfax County Park Authority (FCPA),
Fairfax County Public Schools (FCPS), Department of Housing and Community Development
(DHCD)) receive a copy of the final proffer. Some agencies have their own databases to track
accepted proffers.
Pre-construction/Site and Building Plan Review Stage:
• The site plan is received, reviewed, and recommended for approval in Land Development
Services (LDS) Site Review Section. Developers/submitting engineers submit a proffer
compliance statement, and, for multiple phase projects, the status of which proffers have been
met.
• LDS Site and Addressing Center reviews the zoning approval and enters all applicable cash
proffers into the PAWS/LDSystem. This entry includes receiving Agency, amount due, trigger,
proffer language and any additional caveats such as State Legislation or escalation. The system
automatically generates pre/post approval conditions based on trigger date selected for each
proffer entry. Holds are placed on addresses, tax map numbers, building permits, Residential Use
Permits (RUPS) and/or Non-RUPS in Fairfax Inspection Database On-Line (FIDO) if necessary.
• Site Reviewers ensure that applicable, non-monetary proffers are addressed in the site plan and
added as pre/post approval conditions if necessary.
• Applicants access required pre/post approval conditions on County website (PAWS/LDSNet).
When the payment is received, a Deposit Entry (DE) and payment receipt is generated. The cash
proffer is processed as a deposit in FOCUS. The money is released or transferred to other
agencies (i.e. DOT, FCPA, DHCD, FCPS) as specified in the proffer language. These agencies
then manage their proffered funds and associated commitments.
• Monthly notification (Excel spreadsheet) is sent to agencies of the current proffer balances by
Fund in the Proffer General Ledger. It is the responsibility of each Agency to notify LDS if they
find any discrepancy between the report provided by LDS and their records in FOCUS.
• LDS performs a monthly reconciliation of proffers in the General Proffer Fund.
Construction and Post-Construction Stage:
• Site inspectors monitor proffers during the life of the project. Inspectors prompt builders of
proffer conditions. A review of outstanding proffers is also performed by LDS Bonds and
Agreements staff during review of any bond action application (extension, reduction,
replacement). Any proffers due or overdue at that time are communicated to the Developer and
are required prior to approval of the bond action.
• Before bond release, site inspectors and the Manager of Site and Technical Services review final
checklist, including proffer commitments, and ensures all proffers tied to a bond have been met.
• Some proffers are not tied to a bond. Other agencies (DOT, FCPS, FCPA, and others) are
responsible for ensuring these proffers that are due subsequent to bond release are met.

Question: Please outline the steps and timeline associated with Public Private Partnerships
projects. Provide some examples. What are some of the challenges and how can staff and the Board of
Supervisors improve the process to enable projects to be completed faster?
Response: Public Private Partnership (PPP) projects can either be solicited via a Request for Proposal
(RFP) or unsolicited proposals brought forth by a private entity for a specific property or project.
Enabling legislation includes Design Build procurement, and the Public Private Education and
Infrastructure Act (PPEA). Cost, financing, risk assignment, legal, land use, quality of design and
construction, lease and operating terms, and are all issues that contribute to the complexity and time
consuming nature of PPP projects. It is not uncommon for PPP’s to have more coordination issues that
require senior county staff to analyze and more time to move forward than a standard capital
improvement project that is designed and constructed by the County on County property. Major elements
of the PPP procurement process include:
¾ Request for Proposal- development of a Request for Proposal (RFP) for a solicited PPP process
typically takes 3-6 months to prepare depending on the complexity of the project. Close
coordination across many County Departments is required to properly reflect the outcomes
desired by the County with the RFP. A similar time frame is required to prepare a Request for
Competing Proposals in cases where an unsolicited PPP proposal is submitted under the Public
Private Education and Infrastructure Act (PPEA).
¾ Preparation of Detailed Proposals- once an RFP is issued, potential offerors are typically
allowed 2-3 months to prepare their detailed development proposals.
¾ Evaluation of Proposals- upon receipt of the detailed proposals in response to the RFP, a team
of County staff members conducts a detailed review of the proposals. This process typically
requires a series of clarifying, follow-up questions and responses between the County and the
offerors. The timeframe for the proposal evaluation phase is dependent upon the number of
proposals received, the complexity of the project, the extent to which proposals align with the
County RFP and goals, and the responsiveness of the offerors. This phase typically takes 4-6
months, but can take longer.
¾ Negotiation with Top Ranked Offeror- Past experience reflects that the duration of negotiations
with the top ranked offeror is a very time intensive effort that requires a commitment of
significant, senior level County resources; and is a process that takes a significant amount of time
to resolve. The timeframe for negotiation of a comprehensive development agreement has taken
in excess of one year in many prior PPP projects. The negotiation phase is highly dependent on
the complexity of the project; the nature of the selected development partner; the level of risk
assumed by each party; phasing requirements; and the extent that real estate, zoning and design
4 and construction are integral or can coordinated on separate tracks. Experience reflects that
projects require more time for negotiations and carry higher levels of risk for the County when
design and construction of the public and private elements are integral (Wiehle Avenue). Other
examples where a County project is designed and built by the PPP partner (South County Center)
also entail a high level of risk, and a significant amount of upfront time is required to define the
cost and quality of the County project to be delivered. Other project types in which the County
offers a land lease with private development and/or privately operated public facilities have been
undertaken, including Residences at Government Center; North Hill, Laurel Hill Adaptive ReUse; Lewinsville Center, Crescent Apartments and Kingstowne Library. Challenges with these
projects have included extensive negotiation on long term lease terms, assurances of the life level
of quality to be maintained, and scrutiny of any capital contribution by the County.
Interim Agreements have been used in numerous instances as a tool to move the initial planning
and land use entitlement process forward, concurrent with negotiation of a comprehensive
development agreement, while defining the obligations and risks of the parties during the interim
steps.
It should also be noted that an alternative approach of using a real estate exchange agreement with an
accompanying joint infrastructure agreement has been used effectively in cases where the PPP can be
classified as a real estate agreement. This approach has been successfully utilized on the Mid-County
Center agreement with Inova, and is being utilized on the project to develop the Innovation Center
Station Parking Garage. Benefits of this approach are that it allows for a direct identification of the
real estate partner, and more timely initiation of negotiations with that partner.
Examples of solicited PPP projects include the South County Center, Wiehle Ave Metro Garage,
Residences at Government Center, Lewinsville Center and Crescent Apartments. Examples of
unsolicited PPEA projects include North Hill and Kingstowne Library. The Mid County Center and
Innovation Center Station projects were unsolicited PPEA’s that were handled using the alternative
real estate and shared infrastructure agreement approach.
The County has added staff to create a Branch within the Department of Public Works and
Environmental Services (DPWES) to manage the PPP process as it pertains to assigned to DPWES,
and to support the PPP efforts County-wide. Going forward with lessons learned from ongoing
PPP’s staff among the agencies involved in PPP’s will review our procedures and recommend any
changes needed to the existing Board policy.
