In each territory, we have experts who advise clients on both core employment matters, such as preparing employment documentation, compliance with local laws, employee terminations and works council/union issues, and on more complex crossborder issues and the implications for other HR workstreams (immigration, social protection, payroll and tax). The following are areas in which we typically assist clients who need multi‑territory employment law support: • Due diligence in international mergers and acquisitions: we advise on both the sell side and the buy side of deals, and provide advice with an eye towards assessing financial and operational risks to be taken into consideration in both the negotiation phase and in the postdeal integration phase. These include risks include the impact of transfer of undertaking legislation (especially in the EU), works council consultation obligations, and potential restructuring costs and procedures. • Staff reduction and restructuring: we help clients analyse and anticipate the costs and procedures inherent in staff reductions under the legislation applicable to the site, and can support the client’s own HR team in managing the often complex calendar of procedures across territories efficienly. Employment • Reward plans: we advise on the compliance of global incentive plans with local employment laws, notably to ensure that the plans (and accompanying management communications) are in compliance with worker equality and discrimination rules, and employee representive (works council) negotiation rights. • Globalization of HR policies: we help organizations design and implement global HR policies that are compliant with local legislation and can provide training to support such policies in areas such as diversity and discrimination. • Restructuring groups: working with colleagues in PwC Legal’s International Corporate Structuring network, we help clients with the complexities of changing their corporate or group structures, covering areas such as employee consultation, staff transfers, and any resulting redundancies.
